The Site, the Content and the Services are provided to you subject to your agreement to be bound by these terms and conditions of use ("Terms and Conditions"). BY ACCESSING OR USING THE SITE OR THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. In this Agreement, the word "Service" shall be understood to refer to the use of any CausePro online application and transaction processing services; the use of the data obtained by use of the services; and associated use of the CausePro web site. The word "you" shall be understood to refer to the client organization and/or any of its duly appointed representatives authorized to conduct business on behalf of the organization with CausePro. Your use of the services confers no title or ownership in the services. All ownership rights remain in Liberatech Holdings Inc.

Any personal information you provide to us will be collected in accordance with, and for the express purposes set out in the Privacy Policy.

Electronic Communications

By accessing this Web site or sending electronic mail to CausePro you are communicating with CausePro electronically. By doing so, you agree to receive communications from CausePro electronically. CausePro will communicate with you by electronic mail at the electronic mail address provided by you or posting notices on this Web site or any other Web site that may be generally designated in advance for such purpose. You consent to receiving electronically all agreements, notices, disclosures and other communications that CausePro provides to you.

New Services and New Terms

Whenever new products or services are introduced on the Web site as part of the Services, your use of such Services will be subject to these Terms and Conditions unless CausePro noti!es you otherwise. CausePro reserves the right to change the terms and conditions of use at any time. Access or use after such changes indicates your acceptance of these modi!ed terms and conditions. You agree to review the terms and conditions of use regularly.

Client Eligibility

Our services are available to all individuals, organizations and non-pro!t organizations except for our Canadian tax receipting service, which is limited to duly registered Canadian charities and organizations working with duly registered charities. CausePro reserves the right to limit its services at its sole discretion. You will provide true, accurate, and current information about yourself during the sign up, registration and billing process. Client eligibility is only in part determined on the validity of intent of use. We reserve exclusive right to determine validity of cause, intent of use, and client suitability.

Your Account

You are responsible for maintaining the con!dentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. CausePro reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion without notice. You are responsible for all activity occurring under your client account, including, but is limited to all campaign creation, the appropriate distribution of funds to the correct causes, the managing of customer accounts and the monitoring of any other content on the site including messages, social media links and other text. CausePro will not be held liable for any content posted within your global user account. This includes all sub accounts, all campaigns, and social media tie-ins.

1. Application Process

1.1 Once you have set up a user account, registered your organization with us and submitted your account to CausePro, we will review your application and begin the development of your Donation Platform.

1.2 Tax Receipts: If you choose to use the CausePro Tax Receipting services, CausePro will provide you with electronic tax receipts to your online donors that meet the requirements of the Canada Revenue Agency and / or the IRS [U.S. Clients]. You are responsible to provide CausePro with a ‘batch’ of tax receipt numbers, a digital signature and your CRA # or your 501(c) 3 Number. CausePro acts as an agent on your behalf to issue receipts and will only report / receipt for donations made through its online platforms. CausePro is not responsible for any damages caused to you and any the non-pro!t organization with whom you have a relationship as a result of, but not limited to the misuse or misappropriation of tax receipts.

1.3 Campaigns: The CausePro platform allows you to create campaigns for donors to donate speci!cally to a project of your choice. Campaigns can be created through our site, and submitted for approval by CausePro. CausePro will then review the campaign and associate it with your donation gateway.

2. CausePro is a Service Provider

2.1 Overview: CausePro provides services that collect, process, and disburse online transactions; that collect participant responses; and that support email marketing. These services are o"ered on an "as is" basis. CausePro does not actively solicit business on any organizations behalf. As such, we have no control over the quantity or amount of transaction including the creditworthiness of transaction and of your customer.

2.2 Security of Transaction: Due to the challenges of authentication on the Internet, we cannot con!rm unequivocally the identity of the donor. We will make all e"orts to ensure accurate information during the transaction process [by way of collecting information] and will work with all legal parties to limit fraudulent activity. CausePro and its subsidiaries [including agents, directors, o#cers, employees and partners] are not responsible for fraudulent activity that may occur through our service.

2.3 Security of the Gateway: CausePro is committed to providing a secure online environment to facilitate our service. However, given the nature of global Internet security, CausePro accepts no responsibility for security breaches beyond our reasonable control.

2.4 Information Control: We do not control the information provided by you or your customers, which is made available through our system. CausePro is not responsible for verifying customer information beyond the extent necessary to process a transaction. Please use caution, common sense, and practice safe information exchange with all of your online customers and constituents. CausePro reserves the right, but is not obligated to, review and approve any content posted by you. CausePro disclaims all copyright and other rights in such content and all responsibility for them.

2.5 CausePro as a Third Party Fundraiser: You authorize CausePro to act as a third party fundraiser on your behalf. This is to enable CausePro to issue tax receipts on your behalf to donors. CausePro will not actively pursue donors or engage in revenue development activities unless speci!cally asked by your organization to do so in writing.

3. Reporting

3.1 CausePro provides you with access to our processing user accounts. This system provides you with donor reporting, account options and other tools you need to be successful in your fundraising e"orts. While CausePro will make every e"ort to maintain this system; we do not accept responsibility for computer errors, lag in information $ow and other incorrect information that may be posted on your system. It is the non-pro!t’s responsibility to review the fund release and reconcile it with the donor reporting system provided to it. If discrepancies are found, the non pro!t or you are to contact CausePro immediately.

4. Fees and Services

4.1 The services are charged according to the pricing plan and selection of services agreed upon by you. For the use of each service, CausePro charges a one-time Setup Fee, a Monthly Maintenance and Support Fee, and a variable fee per Transaction, Email Sent, Survey/Test/Ballot Completed, and/or Bulk Tax Receipt Issued. As used in the Agreement, "Transactions" means the collection of all online event registrations, member registrations, one-time and monthly donations, shopping cart orders, as well as, all revenues collected from e-commerce. Unless otherwise stated, the fees are quoted in Canadian Dollars for Canadian currency transactions and US Dollars for US currency transactions.

4.2 We may change our Fees and Credits policy and the fees for our services from time to time. Our changes to the policy are e"ective after we provide you with at least fourteen (14) days notice of the changes by including noti!cation with your monthly invoice or emailing you at the email address supplied by you in the Account section of your password-protected CausePro Account. You are responsible for keeping your contact information up-to-date.

4.3 We may, in our sole discretion, change some or all of our services at any time with proper notice given to the Email Address. In the event that we introduce a new service, the fees for that service - if any - will be e"ective at the launch of the service.

4.4 You are responsible for paying all fees and expenses associated with our services and all applicable taxes, which are due and payable on receipt of the invoice, and are non-refundable, regardless of any termination of this Agreement by you or CausePro.

4.6 You authorize CausePro and its agents to deduct any fees and expenses due and owing to CausePro by you from amounts due to you; if the amounts due to you are insu#cient to cover the compensation due CausePro hereunder, CausePro will invoice you for the remainder. You shall continue to pay the then-current Transaction Fees in e"ect at the expiration of the term of this Agreement on all revenues received from online Transactions, notwithstanding the termination of this Agreement. You shall also continue to be responsible for all chargebacks (credit card adjustments due to transaction cancellation) and associated chargeback fees of any kind whatsoever, notwithstanding the termination of this Agreement.

5. Installation and Access

5.1 To use our service, one or more of our links must be posted on your site. Installing the links is extremely safe and easy; however, CausePro assumes no responsibility for any harm incurred by your organization upon the installation or attempted installation of the link.

5.2 For use of our API product, we will provide your IT Team with the API documentation, sample PHP Files and the API Key necessary to set up the account. We will not access your server, perform maintenance on your server or otherwise install the product unless otherwise arranged on terms not contained in this agreement. CausePro is not responsible for server and site changes that may cause the API to not function properly once the API is installed. It is your sole responsibility to ensure your site is properly connected to our API.

6. Maintenance and Site Changes

6.1 CausePro is committed to providing the best online platforms. Performing regular maintenance on our services is part of this commitment. We will make every reasonable e"ort to ensure that these updates and any downtimes cause as little disruption as possible. However, we take no responsibility for any loss incurred when our service is disrupted for any reason whatsoever.

7. Information Storage

7.1 This agreement allows CausePro to collect and store your information for purposes of providing you with the services outlined in this agreement. Further, CausePro collects donor information for the purposes of ful!lling the services assigned to it. CausePro does not “own” this information and is not liable for any use of the information by your organization. CausePro respects privacy policies with respect to the collection and storing of data and will destroy any of your customer records in our database, except those required by applicable laws, with written notice.

7.2 Data Storage: (CausePro) Liberatech Holdings Inc. is a registered Canadian Corporation operating in British Columbia, Canada and as such follows the information storage guidelines contained in FOIPPC BC and PIPPC.

8. Liability

8.1 At CausePro, we want your online e"orts to succeed and, with our fee-per-transaction system, we have directly tied our success to yours. However, under no circumstances, including but not limited to negligence, shall CausePro, its employees, suppliers and/or its third party agents be liable for direct, indirect, incidental, consequential, special, punitive or exemplary damages, arising from the use of or inability to use the service or any provision of the Terms, such as, but not limited to, loss of revenue or lost business.

8.2 You agree to indemnify, defend and hold harmless CausePro and its subsidiaries, a#liates, o#cers, directors, employees, consultants, agents and licensers from any and all third-party claims, liability, damages and/or costs resulting from your failure to comply with the Terms, your infringement of the Terms, or from your violation of any applicable laws.

9. Termination of Service

9.1 You must provide thirty (30) days written notice of termination of your account.

9.2 You must not abuse, harass, threaten, impersonate or intimidate other users of our website.

9.3 You may not use the Service for any illegal purpose or in any manner inconsistent with the Terms. The Service may not be used to directly bene!t any individual. Any fraudulent, abusive or otherwise illegal activity shall be grounds for termination of your account at the sole and unfettered discretion of CausePro. CausePro reserves the right to terminate your account at any time for any reason, without liability. You will receive immediate noti!cation of any decision to terminate on the part of CausePro via the Notice Address.

10. Privacy Policy

CausePro takes your privacy concerns very seriously and has a strict privacy policy governing the use of all information we collect in the process of providing this service. Our privacy policy is available for your review at http://causepro.com/privacy.

11. Copyright

11.1 All content included on this site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of CausePro and is protected by Canadian and international copyright laws. The compilation of all content on this site is the exclusive property of CausePro and is protected by Canadian and international copyright laws. All software used on this site is the property of CausePro and is protected by Canadian and international copyright laws. Content uploaded by the end user, and content loaded through you is excluded from this term.

12. Trademarks and Intellectual Property

12.1 Causepro.com, the CausePro.com logo and other CausePro logos and service names are trademarks or service marks of CausePro (hereinafter referred to as the "Marks"). The Marks may not be used in connection with any product or service that does not belong to CausePro, in any manner that is likely to cause confusion, or in any manner that disparages or discredits CausePro or its Marks. Furthermore, you acknowledge and agree that content and design of the web site, including but not limited to any text, graphics, photographs, audio or video thereon, has been specially designed by CausePro for presentation in a unique format and appearance, with the CausePro look and feel (collectively "Look and Feel") and that such Look and Feel is protected by copyrights, trademarks, service marks, international treaties and/or other proprietary rights and laws of Canada and other countries.

12.2 You agree to grant CausePro permission to include your organization's name and logo in the CausePro client list, including the CausePro website, media kit and other promotional material such as client references in sales presentations, demonstrations at conferences, trade shows, and speaking engagements, etc.

12.3 Third-party trademarks, service marks, logos, and trade names appearing on the CausePro web site are the property of their respective owners.

12.4 You shall immediately notify CausePro of any claim that the Service infringes upon copyright, trademark or other contractual, statutory or other common law rights.

12.5 You acknowledge that the service is the intellectual property of CausePro. You may not copy, reproduce, recompile, decompile, disassemble, reverse engineer, distribute, publish, display, perform, modify, create derivative works from, transmit or in any way exploit any part of the service, except that you may download material from the service for application and information purposes.
